Agreement between Member and USCCB
This Agreement sets forth the terms and conditions for and governs the use by member of myUSCCB. This Agreement (the "Agreement'') is between the Member ("Member") and United States Conference of Catholic Bishops ("USCCB"), having its headquarters at 3211 Fourth St. NE, Washington, DC 20017.
Member and USCCB agree as follows:
USCCB is the copyright owner of or is licensed to use of content it provides on myUSCCB. Member grants to USCCB the nonexclusive right to reproduce and distribute Member's comments and any third party material Member adds to myUSCCB.
USCCB and other related marks used in conjunction with the USCCB Materials are trademarks of USCCB and may not be used in any manner which violates USCCB's trademark.
Member shall not, when making any use of the USCCB content, remove or tamper in any manner with the copyright notice attached to the USCCB content.
Member shall only download and distribute USCCB content from myUSCCB for personal, non-commercial purposes (defined as use which does not involve the transfer of anything of value). Member shall not (1) edit or alter any of USCCB content, (2) create derivative works from USCCB content, (3) use myUSCCB for any unlawful or infringing purpose.
Member may participate in myUSCCB Collaborate, a moderated online discussion hosted by the USCCB, to discuss information and share best practices about the wide range of ministries related to the Roman Catholic Church in the United States. Members shall not, on myUSCCB Collaborate, use vulgar language, engage in personal attacks or use inflammatory remarks against a person or group, provide content or comments which are off topic, distribute spam, link to sites that contain offensive material or attack a person, promote services, products, political organizations or political agendas, or provide information that is factually incorrect or that is contrary to the teachings of the Catholic Church.
DISCLAIMERS OF WARRANTIES AND LIMITATIONS ON LIABILITY. USCCB SPECIFICALLY DISCLAIMS ANY REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY REPRESENTATIONS OR WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OF THIRD PARTIES' RIGHTS, AND FITNESS FOR A PARTICULAR PURPOSE REGARDING ANY MATERIALS REQUESTED FROM USCCB.
Member warrants and guarantees that any content Member creates for or provides to myUSCCB will not violate any existing copyright, contain anything of a libelous or scandalous character, or infringe in any way on any right of any person or entity. Member will indemnify USCCB from and against all suits, claims, proceedings, and costs which USCCB may incur resulting from content Member creates for or provides to myUSCCB. Member further warrants and guarantees that Member has the right without limitation or restriction whatsoever to enter into this Agreement. These warranties and indemnifications shall survive termination of this Agreement for any reason.
USCCB may terminate this Agreement, bar Member from myUSCCB, and delete Member's account if Member violates the terms of this Agreement. If this Agreement is terminated and Member's account deleted, Member's dues shall be refunded, pro-rated from the date of registration.
This Agreement contains the final and entire agreement between Member and USCCB regarding myUSCCB and supersedes all previous and contemporaneous verbal or written negotiations, understandings, or agreements between them regarding myUSCCB. USCCB may change the terms of or otherwise modify this Agreement at any time and those changes shall appear in this Agreement. If Member does not agree to any changes in this Agreement, Member may delete Member's account. No delay in the exercise of any right or remedy hereunder shall operate as a waiver thereof, nor shall any single or partial exercise thereof preclude the further exercise thereof, or exercise of any other right or remedy. This Agreement has been made in the District of Columbia, and any and all claims arising from this Agreement will be governed by and construed in accordance with the laws of the District of Columbia. The sole jurisdiction and venue for any litigation arising out of this Agreement will be an appropriate federal or local court located in the District of Columbia. In the event that any portion of the Agreement is held unenforceable, the unenforceable portion shall be construed in accordance with applicable law as nearly as possible to reflect the original intentions of the parties, and the remainder of the provisions shall remain in full force and effect.
